Mobile Messaging Terms & Conditions

These Mobile Messaging Terms & Conditions ("Messaging Terms") govern your enrollment in and use of the text message (SMS/MMS) programs offered by Sera Rx LLC ("Sera RX," "we," "us," or "our"), including any messages you receive at the mobile telephone number you provide. By providing your mobile telephone number to Sera RX, enrolling in any of our messaging programs, or sending a message to us, you agree to these Messaging Terms.

These Messaging Terms are a part of, and are incorporated into, our Terms and Conditions, and should be read together with our Privacy Policy, our Consumer Health Data Privacy Policy, and our Telehealth Consent. Capitalized terms used but not defined in these Messaging Terms have the meanings given to them in the Terms and Conditions.


1. About Sera RX and These Messaging Terms

Sera RX operates a telehealth technology platform accessible at https://joinserarx.com (the "Platform") and through related websites, applications, communications, and features (collectively, the "Service"). Sera RX is a technology company; it is not a medical practice, pharmacy, or provider of medical services and does not practice medicine or provide medical advice. Licensed healthcare providers ("Providers") affiliated with independent professional entities ("Medical Groups") are solely responsible for clinical care, including any care-related communications they may direct to you.

The Service supports access to cash-pay telehealth offerings, which may include consultations regarding, and where clinically appropriate the prescribing of, compounded medications such as compounded semaglutide and compounded tirzepatide. Mobile messaging is one of the channels we and the Medical Groups use to communicate with you about your account and your care.

These Messaging Terms describe the mobile messaging programs we make available (each, a "Program"), how you enroll, how to get help, how to opt out, and the limitations that apply to text messaging. Please read these Messaging Terms carefully.


2. Program Description

When you provide your mobile telephone number and enroll, you may receive two general categories of text messages:

2.1 Transactional, Account, and Care-Coordination Messages

These are non-marketing messages relating to your account and your use of the Service, which may include, without limitation:

These messages are sent because they are necessary or important to provide the Service you have requested. Some of these messages, including those that support your clinical care, are considered essential and are described further in Section 6.

2.2 Marketing and Promotional Messages

With your prior express consent, you may also receive recurring marketing and promotional messages, which may include offers, product and program information, promotions, surveys, educational content, and other materials about Sera RX and the Service.

2.3 Two Sources of Messaging

Messages may be sent (a) by or on behalf of Sera RX as part of the Sera RX Program, and (b) by or on behalf of the Medical Groups and Providers as care-related messaging connected to your clinical care. Sera RX may facilitate the delivery of care-related messages on behalf of the Medical Groups and Providers using its messaging vendors, but the content and clinical responsibility for care-related messages rests with the Medical Groups and Providers.


3. Consent and Opt-In

3.1 How You Enroll

You enroll in a Program by affirmatively providing your mobile telephone number and consenting to receive text messages—for example, by checking a consent box during account registration, checkout, or intake, by texting a keyword to us, or by otherwise opting in through the Service. The specific consent language presented at the point of enrollment governs the scope of your consent.

3.2 Consent Language

By providing your phone number and checking the applicable box, you consent to receive recurring marketing and transactional text messages from Sera RX at the number provided, sent using an automatic telephone dialing system. Consent is not a condition of purchase. Message and data rates may apply. Message frequency varies. Reply HELP for help or STOP to cancel.

3.3 Consent Is Not a Condition of Purchase

Your consent to receive marketing text messages is not a condition of purchasing any goods or services from Sera RX or of receiving care from a Medical Group or Provider. You may still access the Service and purchase products if you decline marketing messages, although certain essential account and care-related messages may be necessary to provide the Service (see Section 6).

3.4 Double Opt-In Confirmation

After you enroll, we may send you a one-time double opt-in confirmation message to verify your enrollment. You may be asked to reply with a confirmation keyword (for example, "YES") to complete enrollment. This confirmation message, together with any HELP response, does not count toward any message-frequency expectation and may be sent even if you have not otherwise consented to recurring messages.


4. Message Frequency

Message frequency varies and depends on your activity, your account, your care, and your interactions with the Service. You may receive more messages during periods of active care, ordering, or promotions, and fewer at other times. We do not guarantee any particular number of messages.


5. Message and Data Rates

Message and data rates may apply to each message sent to or received from Sera RX, depending on your mobile carrier's plan and the terms of your agreement with your carrier. These charges are billed by and payable to your mobile carrier, and Sera RX is not responsible for any such charges. Please contact your wireless carrier for details about your messaging and data plan.


6. HELP and STOP Keywords; Opting Out

6.1 Getting Help

For help with a Program at any time, reply HELP or INFO to any message you receive from us, or contact us using the details in Section 14. In response to a HELP request, we will provide information such as the Program name and contact information for support.

6.2 Opting Out of Marketing Messages

You may opt out of marketing text messages at any time by replying STOP, UNSUBSCRIBE, CANCEL, END, or QUIT to any marketing message you receive from us. After you send an opt-out keyword, we will send you a one-time confirmation message acknowledging your opt-out, after which we will stop sending you marketing messages from that Program. You may continue to receive messages for a short period while your request is processed.

If you opt out by replying to a message, you may continue to receive messages from other Programs to which you have separately subscribed unless you opt out of those Programs as well. To stop all messages from a particular Program, send the opt-out keyword in reply to a message from that Program.

6.3 Essential Account and Health-Related Messages

Opting out of marketing messages does not necessarily opt you out of essential, non-marketing messages that are necessary to provide the Service or to support your clinical care—such as security codes, order and payment notices, prescription and shipping updates, safety notices, and care-coordination communications from the Medical Groups and Providers. These essential messages are sent as part of providing the Service you have requested. If you wish to stop receiving essential account or care-related messages, you may need to close your account, discontinue the relevant service, or contact us at the details in Section 14; doing so may limit or prevent our ability to provide the Service to you.

6.4 Re-Enrolling

If you opt out and later wish to receive messages again, you may re-enroll by opting in again through the Service as described in Section 3.


7. Supported Carriers and Carrier Disclaimers

Our Programs may be supported by major U.S. wireless carriers and many smaller and regional carriers, but we do not guarantee that a Program will be available or compatible with every carrier, device, or operating system. Supported carriers may change without notice, and carriers are not required to support any Program.

Carriers are not liable for delayed or undelivered messages. Delivery of messages is subject to effective transmission by your wireless carrier and is outside of Sera RX's control. Neither Sera RX nor the wireless carriers warrant that messages will be delivered, will be delivered in a timely manner, or will be error-free.


8. Eligibility and Your Mobile Number

8.1 Eligibility

To enroll in a Program, you must (a) be a resident of, and physically located in, the United States; (b) be at least 18 years of age; and (c) be the account holder for, or an authorized user of, the mobile telephone number you provide and have the authority to consent to receive messages at that number.

8.2 Accuracy of Your Number

You represent and warrant that the mobile telephone number you provide is accurate, is your own number or a number you are authorized to enroll, and is not a number assigned to another person without that person's authorization.

8.3 Changes to or Transfer of Your Number

You agree to promptly notify us if you change, deactivate, or transfer your mobile telephone number, or if you cease to be the owner or authorized user of that number. You must update your number through the Service or by contacting us using the details in Section 14. You are responsible for any messages, including messages containing health-related information, that are sent to a number you have provided but have failed to update. By providing a number, you agree that you will be responsible for any messages sent to a former number that you did not properly remove from your account.


9. Privacy and Message Security

9.1 Privacy Policies

Your privacy is important to us. Our collection and use of information in connection with the Programs, including your mobile telephone number and message content, are described in our Privacy Policy and, with respect to consumer health data, in our Consumer Health Data Privacy Policy. Please review those policies to understand how we collect, use, and disclose your information. We do not sell or share your mobile information with third parties or affiliates for their own marketing or promotional purposes; mobile information may be shared with service providers and vendors that help us operate the Programs and deliver messages, subject to those policies.

9.2 Messages May Reference Health-Related Information

Because the Service relates to telehealth, messages you receive may reference or relate to health-related information, your care, your prescriptions, your appointments, or your orders. You acknowledge and agree that such information may appear in text messages sent to the number you provided and may be visible to anyone with access to your device.

9.3 Device Security

You are responsible for maintaining the security of the device and the mobile account associated with the number you provide. We strongly encourage you to secure your device (for example, with a passcode or biometric lock) and to control who has access to it, particularly because messages may contain health-related or personal information.

9.4 SMS Is Not Secure; No Emergencies

Text messaging is not a secure or encrypted method of communication. Messages may be intercepted, accessed by others, or delivered to the wrong recipient. Do not transmit sensitive information by text that you do not wish to risk being disclosed.

The Programs are not monitored in real time and must never be used for medical emergencies or urgent medical needs. If you are experiencing a medical emergency, call 911 immediately. If you are experiencing a mental health crisis or thoughts of self-harm, call or text 988 (the Suicide & Crisis Lifeline). Do not rely on text messaging to obtain emergency or urgent care.


10. Disclaimers

THE PROGRAMS AND ALL MESSAGES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, SERA RX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, WITH RESPECT TO THE PROGRAMS. SERA RX DOES NOT WARRANT THAT MESSAGES WILL BE DELIVERED, TIMELY, ACCURATE, UNINTERRUPTED, SECURE, OR ERROR-FREE. THE PROGRAMS ARE NOT A SUBSTITUTE FOR PROFESSIONAL MEDICAL CARE, AND MESSAGES DO NOT CONSTITUTE MEDICAL ADVICE EXCEPT WHERE EXPRESSLY PROVIDED BY A PROVIDER IN THE COURSE OF YOUR CARE.


11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, AND IN ADDITION TO THE LIMITATIONS SET FORTH IN THE TERMS AND CONDITIONS, NEITHER SERA RX NOR ITS AFFILIATES, VENDORS, OR WIRELESS CARRIERS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY DAMAGES ARISING FROM OR RELATING TO DELAYED, MISDIRECTED, UNDELIVERED, OR INTERCEPTED MESSAGES, MESSAGE OR DATA CHARGES, OR YOUR PARTICIPATION IN OR INABILITY TO PARTICIPATE IN ANY PROGRAM, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE LIMITATIONS AND EXCLUSIONS IN THE TERMS AND CONDITIONS ARE INCORPORATED HEREIN BY REFERENCE AND APPLY TO THE PROGRAMS.


12. Changes to the Programs or These Messaging Terms

We may add, modify, suspend, or discontinue any Program, or change these Messaging Terms, at any time, with or without notice, to the extent permitted by law. Changes are effective when posted, unless otherwise stated. Material changes will be reflected by an updated "Last updated" date above. Your continued enrollment in or use of a Program after changes become effective constitutes your acceptance of the revised Messaging Terms. If you do not agree to the changes, you must opt out of the applicable Program as described in Section 6.


13. Dispute Resolution and Governing Law

Any dispute arising out of or relating to these Messaging Terms or the Programs is subject to the dispute resolution, binding arbitration, and class-action waiver provisions set forth in our Terms and Conditions, which are incorporated into these Messaging Terms by reference. Please review those provisions carefully, as they affect your legal rights.

These Messaging Terms, and any dispute arising out of or relating to them or the Programs, are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. To the extent any dispute is not subject to arbitration, you agree that it will be brought exclusively in the state or federal courts located in Duval County, Florida, and you consent to the personal jurisdiction of, and venue in, those courts.
