Subscription, Auto-Refill & Cancellation Policy

Please read carefully. This Subscription, Auto-Refill & Cancellation Policy (this "Policy") explains how recurring subscriptions and memberships work on the Sera RX Platform, how automatic renewal and recurring billing operate, how each shipment and charge is triggered, and how you may pause, change, or cancel your subscription. This Policy applies to all products and services offered by Sera Rx LLC ("Sera Rx," "Sera RX," "we," "us," or "our") through the website located at https://joinserarx.com (the "Platform") and any affiliated website, software, or application owned or operated by Sera RX, together with any products, services, content, communications, and personalized recommendations provided through the Platform or otherwise by Sera RX (collectively, the "Service"). The terms "you," "your," and "yours" refer to the person using the Service and enrolling in a Subscription.

This Policy is incorporated into and forms part of our Terms and Conditions. Capitalized terms used but not defined in this Policy have the meanings given to them in the Terms and Conditions. To the extent of any conflict between this Policy and the Terms and Conditions regarding subscription, auto-refill, billing, or cancellation matters, this Policy controls. This Policy should be read together with our Terms and Conditions, Returns & Refunds Policy, Shipping Policy, Telehealth Consent, and Privacy Policy.

Sera RX is a telehealth technology platform. Sera RX is not a healthcare provider, pharmacy, or medical group, and does not practice medicine or pharmacy. Clinical care and treatment decisions are provided by licensed physicians, nurse practitioners, physician assistants, and other licensed healthcare professionals ("Providers") affiliated with independent professional medical groups ("Medical Groups"), and prescription medications are dispensed by licensed compounding pharmacies ("Pharmacies") pursuant to a valid prescription issued by a Provider. Sera RX operates on a cash-pay basis only; we do not accept, bill, or process health insurance.

PLEASE READ THIS DISCLOSURE BEFORE ENROLLING. WHEN YOU ENROLL IN A SUBSCRIPTION, YOU ARE SIGNING UP FOR A RECURRING, AUTOMATICALLY RENEWING PROGRAM WITH RECURRING CHARGES.

By enrolling in a Subscription, you acknowledge that you have read, understood, and agreed to this Automatic Renewal Disclosure and to the recurring charges described in this Policy.

2. How Subscriptions and Memberships Work

2.1 Subscription Model

Sera RX offers its Products and related services primarily on a recurring Subscription basis. When you enroll, you join an ongoing program designed to support continuity of care and uninterrupted access to your prescribed Product, subject at all times to a valid prescription and your continued clinical eligibility as determined by a Provider.

2.2 Plan Types

Plans may differ by, among other things: (a) the medication and dosage prescribed to you by your Provider; (b) the Billing Cycle and shipment cadence (for example, a monthly plan billed and shipped every month, or a quarterly plan billed and shipped every three (3) months); and (c) whether the plan is paid per cycle or prepaid for a multi-month term. The specific plan details, cadence, and price applicable to you are presented to you at the point of enrollment and in your account, and they govern your Subscription.

2.3 What Is Included

Depending on your plan, your Subscription is designed to include the following bundled benefits:

The amount you pay for a Subscription is a single, bundled membership fee for the program and the benefits described above. It is not itemized into separate charges for consultation, medication, and shipping unless expressly stated at the point of sale.

2.4 Conditioned on a Valid Prescription and Continued Eligibility

Your enrollment, your initial fulfillment, and every Auto-Refill are conditioned on (a) the issuance and continued validity of a prescription from a Provider, and (b) your continued clinical eligibility as determined by the Provider in the exercise of independent professional medical judgment. No prescription is guaranteed. If a Provider determines that a Product is not appropriate for you, or does not issue or renew a prescription, the corresponding fulfillment will not occur, even if you have enrolled. Where a charge has been collected but a prescription is not issued, we will address the charge as described in our Returns & Refunds Policy.


3. Automatic Renewal and Recurring Billing Authorization

3.1 Your Authorization

By enrolling in a Subscription and providing a Payment Method, you authorize Sera RX and its third-party payment processors to store your Payment Method and to charge it on a recurring basis, automatically and without further authorization from you, for: (a) the recurring membership/plan fee at the then-current price; (b) any applicable taxes, surcharges, and fees; and (c) any other amounts you have agreed to. This authorization remains in effect until you cancel your Subscription or the authorization is otherwise terminated in accordance with this Policy.

3.2 Billing Cadence and Renewal

Your Subscription renews automatically at the end of each Billing Cycle for a successive term of the same length. The recurring charge is processed on or around the applicable Renewal Date. The length of your Billing Cycle (for example, monthly or quarterly) is the cadence you selected at enrollment and as shown in your account.

3.3 What Triggers Each Shipment and Charge

To support continuity of care and avoid gaps in therapy, refills are reviewed and processed in advance of the date your current supply is expected to run out. In general, ahead of each Renewal Date: (a) your account is reviewed for continued eligibility and a Provider approves the refill where required; (b) the recurring charge is applied to your Payment Method; and (c) upon successful payment and clinical approval, the Pharmacy prepares your Product and the order is shipped. The recurring charge and the corresponding Auto-Refill are part of the same renewal event. Because refills are processed in advance, a charge and shipment may occur before your current supply is fully depleted.

3.4 Price at Renewal

Each renewal is charged at the then-current price for your plan in effect as of the Renewal Date, plus applicable taxes and fees. The price applicable to your plan is disclosed to you at enrollment and is available in your account. See Section 6 ("Price Changes") regarding changes to recurring pricing.

3.5 Pre-Renewal Reminder Notices

Where required by applicable law, and otherwise as a courtesy, we will send you a reminder notice in advance of each upcoming renewal charge and shipment, typically by email to the address associated with your account. Each reminder is intended to identify the upcoming charge amount (or how to determine it), the approximate Renewal/ship date, and clear instructions on how to cancel before that date. It is your responsibility to keep a current, valid email address and Payment Method on file. Failure to receive a reminder (for example, due to an outdated email address or spam filtering) does not relieve you of charges already authorized, nor does it extend any cancellation deadline.


4. Free Trials and Introductory Offers

From time to time, we may offer free trials, introductory pricing, promotional discounts, or "first-month" offers (each, an "Intro Offer"). Unless expressly stated otherwise at the point of sale:

All Intro Offers remain subject to a valid prescription and continued clinical eligibility; an Intro Offer does not guarantee that a Product will be prescribed to you.


5. Plan Changes and Dosage Changes

5.1 Changing Your Plan

Subject to availability and clinical appropriateness, you may request to change your plan, cadence, or quantity through your account or by contacting hello@serarx.com. Changes generally take effect on your next Billing Cycle. If a plan change results in a different price, the new price will apply to subsequent charges, and we will disclose the change before it takes effect.

5.2 Dosage Changes

GLP-1 therapy frequently involves dose titration over time as directed by your Provider. A change in your prescribed dosage may change the Product dispensed and the amount of your recurring charge. Where a dosage change affects your price, the adjusted amount will apply to your subsequent charge(s). Dosage changes are made by, and at the clinical discretion of, your Provider; Sera RX does not adjust dosing.


6. Price Changes

We reserve the right to change the prices, fees, and charges associated with any Subscription. If we increase the recurring price of your Subscription, we will provide you with advance notice (typically by email to the address on file) before the increased price takes effect, together with instructions on how to cancel if you do not wish to continue at the new price. Your continued enrollment after the effective date of a price change constitutes your acceptance of the new price. If you do not agree to a price change, you may cancel before the change takes effect in accordance with Section 7. Price changes do not apply retroactively to charges already processed.


7. How to Cancel Your Subscription

You may cancel your Subscription at any time, for any reason, with no cancellation fee. Cancellation is easy and available through self-service.

7.1 Cancellation Methods

You may cancel by either of the following methods:

You may also contact us by mail at the address in Section 14, though mailed requests are subject to delivery and processing time and may not meet a cancellation deadline.

7.2 Cancellation Deadline

Because refills are processed in advance to ensure continuity of care, you must submit your cancellation request at least three (3) days before your next scheduled billing or refill processing date to avoid being charged for, and shipped, your next refill. Your next billing/ship date is available in your account.

7.3 Cancellation Effective Date

A timely cancellation request that is submitted before your Subscription's next refill has been processed will stop future renewals and prevent further recurring charges. Your cancellation is effective as of the date we receive your request, and no further Billing Cycles will be initiated after that date. Cancellation ends future renewals only; it does not reverse charges or shipments that were already processed before the cancellation took effect (see Section 7.4).

7.4 Effect of Cancellation on a Processed Refill

If your cancellation request is received after your next refill has already been processed, charged, dispensed, or shipped, that particular order will proceed and the associated charge will not be refunded, because compounded medications are prepared specifically for you and cannot be restocked, returned, or reused once dispensed. In that case, your cancellation will instead take effect for the following Billing Cycle, so that you are not charged again after the already-processed order. Please refer to our Returns & Refunds Policy for additional detail on refunds and the limited circumstances in which they may be available.


8. Pausing, Skipping, Rescheduling, and Changing Frequency

To give you flexibility short of full cancellation, and subject to clinical appropriateness and availability, you may be able to:

These changes can generally be requested through your account or by contacting hello@serarx.com. To be effective for the next refill, any such request must be made before that refill has been processed (and we recommend at least three (3) days before your next scheduled billing/ship date). Pausing or skipping does not cancel your Subscription; unless you cancel, billing and shipments will resume on the rescheduled or next applicable date. Changes to cadence or frequency must remain consistent with your Provider's clinical guidance and any prescription limits.


9. Failed Payments, Retries, and Suspension for Non-Payment

9.1 Keeping Payment Current

You are responsible for maintaining a valid, current Payment Method with sufficient funds or available credit. You authorize us to update your Payment Method information using card-updater services provided by payment networks or your card issuer, where available.

9.2 Failed Payments and Retries

If a recurring charge is declined or otherwise fails, we may attempt to charge your Payment Method again (one or more retries) over a period of days, and we may notify you (a "dunning" communication) requesting that you update your payment information. You authorize these retry attempts.

9.3 Suspension and Termination for Non-Payment

If we are unable to successfully collect payment after our retry and notice process, we may, without limiting our other rights: (a) suspend or delay your refill and Service; (b) downgrade, suspend, or terminate your Subscription; and/or (c) refer past-due amounts for collection. Suspension or termination for non-payment does not relieve you of your obligation to pay amounts already accrued and owed.


10. Clinical Discontinuation and Provider Oversight

Your access to, and continued receipt of, a prescription Product is always subject to the independent clinical judgment of your Provider. A Provider may decline, pause, modify, or discontinue treatment at any time for clinical or safety reasons, including where you do not complete required check-ins, do not provide requested information, are no longer clinically eligible, or where continued treatment is not appropriate. Continued treatment and each Auto-Refill require ongoing engagement, including periodic check-ins, follow-up assessments, and refill approvals as directed by your Provider. If a Provider pauses or discontinues your treatment, the corresponding refill will not be dispensed; we will handle any affected charge in accordance with our Returns & Refunds Policy. Sera RX does not override, and is not responsible for, the clinical decisions of Providers. 11. Refunds in the Subscription Context

Except as required by applicable law or as expressly provided in our Returns & Refunds Policy, all charges are final, and Sera RX does not provide refunds, returns, or credits for compounded medications that have been dispensed or shipped. Cancellation of a Subscription stops future charges but does not, by itself, entitle you to a refund of amounts already charged for orders that have been processed. Any refunds, where available, are governed by, and addressed in accordance with, our Returns & Refunds Policy, which is incorporated into this Policy by reference. If you believe you were charged in error, please contact hello@serarx.com promptly so we can review your account.


12. Effect of Cancellation; Reactivation; Survival

12.1 Effect of Cancellation

Upon the effective date of cancellation, your Subscription will not renew, and you will lose access to the ongoing benefits associated with the Subscription, which may include scheduled refills, ongoing Provider oversight, messaging access, member pricing, and other plan benefits. Cancellation does not delete your account or your records, which continue to be handled in accordance with our Privacy Policy and applicable law.

12.2 Reactivation

If you wish to resume treatment after cancellation, you may be able to reactivate or re-enroll, subject to availability, the then-current pricing and plan terms, and a renewed determination of clinical eligibility (which may include a new or updated evaluation, prescription, and consents). Reactivation is not guaranteed and may require completion of intake or check-in steps.

12.3 Survival of Accrued Charges

Cancellation, suspension, or termination does not relieve you of the obligation to pay any amounts already accrued and owed as of the effective date, including charges for any refill that was processed, dispensed, or shipped before cancellation took effect. Provisions of this Policy that by their nature should survive—including those relating to payment obligations, refunds, disclaimers, and limitations—survive termination.


13. Changes to This Policy

We may revise this Policy from time to time. Any changes are effective upon posting to the Platform with an updated "Last updated" date, except that material changes to recurring pricing, billing cadence, or renewal terms applicable to your existing Subscription will be communicated to you with advance notice and, where required by applicable law, will not take effect for your Subscription until the notice period has elapsed. Your continued enrollment after the effective date of a change constitutes your acceptance of the revised Policy. If you do not agree to a change, your remedy is to cancel in accordance with Section 7 before the change takes effect.


14. Governing Law

This Policy and any dispute arising out of or relating to it or to your Subscription are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles, and, where applicable, the federal laws of the United States, including the FTC's rules governing negative-option and automatic-renewal programs. Venue for any matter not subject to arbitration under the Terms and Conditions shall lie in the state or federal courts located in Duval County, Florida. Nothing in this Policy limits any non-waivable rights you may have under the automatic-renewal, negative-option, or consumer-protection laws of your state of residence (including, where applicable, the California Automatic Renewal Law). The dispute-resolution and arbitration provisions of our Terms and Conditions apply to disputes arising under this Policy.
